Annual General Meeting

The Annual General Meeting of Metso Corporation was held on April 15, 2003 in Helsinki, Finland.

The Annual General Meeting of Metso Corporation:

• approved the accounts for 2002
• voted to discharge the members of the Board of Directors and the President and CEO from liability for the 2002 financial year
• authorized the the Board of Directors to resolve to repurchase and to dispose of the Corporation's own shares within one year of the shareholders' meeting
• authorized the the Board of Directors to increase the share capital by issuing new shares.within one year of the shareholders' meeting
• decided to give stock options to the key personnel of Metso Corporation.

Dividend

Annual General Meeting decided to distribute a dividend of EUR 0.60 per share. Dividend will be paid to those shareholders who were entered in the Corporation’s shareholder register maintained by the Finnish Central Securities Depository Ltd. on the record date for payment of dividend, i.e. on April 22, 2003. The actual payment of dividend will take place on April 29, 2003.


Board of Directors

Matti Kavetvuo was elected the Chairman of the Board at the Annual General Meeting. Mikko Kivimäki, President and CEO of Rautaruukki Group, was re-elected the Vice Chairman of the Board. Maija-Liisa Friman, Vice President and General Manager, Vattenfall Finland was elected Board member. Board members re-elected are Heikki Hakala, Metso's previous President and CEO; D. Sc. (Tech.) Juhani Kuusi, Senior Vice President, Nokia Oyj; Jaakko Rauramo, Chairman of the Board of SanomaWSOY Oyj and Sanoma Magazines B.V.; and Pentti Mäkinen, Chief Shop Steward, proposed by the personnel of Metso Corporation.


Auditors

Authorized Public Accountants, PricewaterhouseCoopers Oy, was re-elected as the Corporation’s auditor, the auditors with principal responsibility being Lars Blomqvist, Authorized Public Accountant, and Heikki Lassila, Authorized Public Accountant.
